• AI-generated quotes, estimates, and project scoping are preliminary estimates only and do not constitute an offer, proposal, bid, or commitment to perform work
• Estimates may be inaccurate, incomplete, or based on assumptions that differ from actual project requirements
• NexaDev is not liable for any decisions made in reliance on AI-generated estimates
• No binding agreement for services exists until both parties execute a written Master Service Agreement (MSA) and/or Statement of Work (SOW)

4. No Client Relationship

Submitting a form, receiving an AI-generated quote, or exchanging messages through our website does not create a client-agency relationship, fiduciary duty, or any contractual obligation between you and NexaDev. A client relationship is established only upon execution of a signed agreement.

5. Intellectual Property — Website

• All website content, including text, graphics, logos, code, design, and branding, is owned by NexaDev and protected by copyright, trademark, and other intellectual property laws
• You may not copy, reproduce, distribute, modify, or create derivative works from any website content without our prior written consent
• The NexaDev name, logo, and "Create & Inspire" tagline are trademarks of NEXA DEV LLC

6. Intellectual Property — Client Projects

Intellectual property ownership for custom development projects is governed exclusively by the Master Service Agreement (MSA) and Statement of Work (SOW) signed for each engagement. No intellectual property rights are granted through this website, the quote tool, or any pre-engagement communications.

7. Payment Terms (General)

The following are general guidelines for NexaDev engagements:

• Standard rate: $150/hour
• Milestone payment structure: 30% upon agreement execution, 40% at mid-project milestone, 30% upon final delivery and acceptance
• Specific payment terms are established only through a signed MSA/SOW

Payment terms stated here are general guidelines only; binding payment obligations are established only through a signed agreement.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• NexaDev shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this website or reliance on any content, including AI-generated estimates
• NexaDev's total aggregate liability for any claims related to this website shall not exceed $100
• NexaDev specifically disclaims all liability for decisions made in reliance on AI-generated quotes or estimates

This limitation does not apply to liability arising from gross negligence or willful misconduct.

9. Disclaimer of Warranties

12. Governing Law and Jurisdiction

16. Entire Agreement

These Terms, together with our Privacy Policy and any signed MSA/SOW, constitute the entire agreement between you and NexaDev regarding your use of this website.
